PRIVATISATION OF LANDS IN THE GREATER BERNARD LODGE DEVELOPMENT – PHASE ll

Instructions to Prospective Bidders

The Prospective Bidder will indicate via email to info@bernardlodgeja.com their interest to acquire any land in the RFP. The Prospective Bidder must state which RFP Document they are interested in i.e., Residential RFP or Urban Town Centre (Mixed Use and Residential-Townhouse Blocks) RFP.
The cost to purchase the RFP document is US$100 or the JMD equivalent as determined by the day’s Weighted Average Spot Sales Rate. The Prevailing Exchange Rate can be found on the Bank of Jamaica’s website: https://boj.org.jm/market/foreign-exchange/daily-fx-spot-trading-summary/ each. If a Prospective Bidder is interested in both RFPs (Residential and Urban Town Centre), the total purchase cost is US$200.

By way of return email, the Prospective Bidder should reply using the same email thread with the evidence of payment.
The Prospective Bidder will be given access to the Virtual Data Room (VDR) within 48 hours of providing the evidence of payment. The Government of Jamaica (GOJ) has established a web-based VDR, for the purpose of providing Prospective Bidders access to certain information and documents related to the Privatisation of the Greater Bernard Lodge Lands (the “Project”).

Virtual Data Room Rules

The Virtual Data Room Rules (“VDR Rules”) regulate the way the information, data, and documentation related to the Project contained in the VDR (the “Information”) will be made available to the Prospective Bidders (the “Accessing Party”) in respect of the Project.
Each Accessing Party shall use the Information provided in the VDR solely for the purpose of assessing the feasibility of, or preparing, a proposal in relation to the Project.  Access to the VDR will not permit any marking, altering, or modification of any information contained therein, except where expressly directed by Development Bank of Jamaica (DBJ).
  1. Access to the VDR

Access to the VDR will be provided by the GOJ on a 24 hours a day, 7 days a week basis, except when temporary suspension is required for the maintenance or repair of the server or for any other reasonable reason via the following website: www.v-rooms.com. Any questions of a technical nature in relation to the VDR should be addressed directly to kblake@dbankjm.com or tmaxwell@dbankjm.com. Once information and data have been downloaded by the Accessing Party, the Accessing Party will be solely responsible for the internal management of same and for ensuring that the documents and information being relied upon is the latest version and will be required to keep same confidential. The GOJ, DBJ, SCJ Holdings Limited and/or the Enterprise Team shall not be responsible for notifying the Accessing Party of any new additions in the VDR. The Accessing Party will be solely responsible for checking the VDR to ascertain whether any new document or information has been added to the VDR.
  1. Format of Information

Hard copies of the Information will not be provided, but the Accessing Party will be free to download and print Information contained within the VDR.
  1. Revocation of Access to the Data Room

If the Accessing Party either (i) withdraws its interest in the Project, or (ii) violates the VDR Rules, as amended by GOJ from time to time, the Accessing Party’s access privileges to the VDR shall be immediately revoked.
  1. No Representation or Warranties

By disclosing the Information, no representation or warranty, express or implied is, or will be, made and no responsibility or liability will be accepted by the GOJ, Enterprise Team, DBJ, SCJ Holdings Limited or by its employees, directors, officers, agents, or advisors, with regard to the Information, in particular with respect to the accuracy, completeness, or truth of the information.
To the extent that the information includes any appraisals, forecasts, or evaluating conclusions, or reports of a similar nature, each such document shall be considered as informative only and neither the GOJ, nor their respective employees, directors, officers, agents, or advisors, makes any representation or gives any warranty, or assumes any liability with respect to the accuracy, completeness, or truth thereof.
The Accessing Party will be responsible for verifying the information and/or conducting any required due diligence at their own cost.
  1. Information

The GOJ reserves the right at any time to add Information to the VDR.  Equally, all rights are reserved with respect to the removal of Information.
The GOJ reserves the right to amend these VDR Rules at any time; such amendment shall be effective as of the time of issuing notification to the Accessing Party.
  1. Confidentiality

The Accessing Party acknowledges and agrees that Information in the VDR, and all other information made available to the Accessing Party by the GOJ, DBJ, SCJ Holdings Limited and/or the Enterprise Team or their employees, directors, officers, agents, or advisors in connection with the Project may be considered as confidential. Further, the Accessing Party acknowledges that the documents and information should be presumed to be the exclusive copyrighted property of the GOJ, DBJ, SCJ Holdings Limited and/or the Enterprise Team. No part of this work may be reproduced or transmitted in any form or by any means, electronic or mechanical, including photocopying or recording except as expressly permitted in writing by the GOJ, DBJ, SCJ Holdings Limited and/or the Enterprise Team.
